Overview:
This online marketplace (“Marketplace”) is operated by myroast™ (“MyRoast”). Throughout the site, the terms “marketplace”, “we”, “us” and “our” refers to MyRoast. MyRoast allows third-parties (“Sellers”) to create accounts, offer, sell and ship their products to customers (“Customers”).
The terms of service (“Terms of Service”) govern the use of the Marketplace and apply to all users of the Marketplace including without limitation, Sellers, Customers, merchants, browsers and / or contributors of content (Collectively, the “User(s)”). Throughout the site, the terms “you” and “your” refers to the User(s).
In addition to the Terms of Service, by using the Marketplace, Sellers agree to be bound by the seller terms and conditions (“Seller Terms and Conditions”). Acceptance of the Seller Terms and Conditions is a pre-condition to the creation of an account to use the Marketplace by the Seller.
Eligibility:
To be eligible to sell through the marketplace, the Seller must have the legal right within its local jurisdiction to sell its products, and be in good standing with MyRoast.
Application and Approval:
The Seller must complete a seller application and agree to the Seller Terms and Conditions in order to sell its products through the Marketplace. MyRoast reserves the right to approve or reject any Seller application in its sole discretion.
Product Listing:
The Seller shall be solely responsible for the content of its product listings, including product descriptions, images, pricing, and shipping information. The Seller must ensure that all product listings comply with the Terms of Service, and any applicable laws and regulations within the jurisdiction it operates.
Product Guidelines:
MyRoast is focused on offering specialty coffee products and other products which are consistent with the MyRoast brand and image. We have established product guidelines, provided within these Seller Terms and Conditions to ensure the quality and consistency of products sold on our platform.
By using our platform, Sellers agree to comply with our product guidelines outlined within these Seller Terms and Conditions and to provide products that meet our high standards of quality and consistency.
Product Quality:
The Seller represents and warrants that all products offered for sale through the Marketplace will be of high quality, in good condition, and free from defects. The Seller shall be solely responsible for any and all claims related to the quality or condition of its products.
Product Variety and Categories:
MyRoast aims to offer a variety of specialty coffee products and other products that align with our brand and image. We may limit the number of products or categories available on our platform to maintain a focused and curated selection. Presently, MyRoast offers:
- Coffee: Any specialty coffee-related supply products, including beans, roasted beans, ground coffee;
- Non-Coffee: Alternate coffee beverages such as tea, drinking chocolate;
- Equipment: Equipment and products used to brew or prepare coffee or non-coffee beverages;
- Accessories: Accessories which aide in the preparation of coffee or non-coffee beverages, including accessories used in conjunction with equipment;
- Merchandise: Branded merchandise or apparel manufactured or offered by a Seller, including but not limited to clothing, reusable cups, mugs and glassware.

MyRoast reserves the right to reject any products that do not meet our product guidelines. We may also remove products from the Marketplace that no longer align with our product selection or standards, but will provide Seller with sufficient notice should this be the case.
Product Origin:
MyRoast prioritizes products that are sourced ethically and sustainably. We encourage Sellers to provide transparency around their sourcing practices and to prioritize products that are traceable back to their origin.
Product Packaging:
MyRoast encourages Sellers to use sustainable and environmentally friendly packaging materials whenever possible. Packaging should be designed to protect the quality and freshness of the product while minimising waste.
Product Labelling:
Products must be accurately labeled with all required information, including ingredients, allergens, and nutritional information where necessary. Any products that make health or nutritional claims must be supported by credible scientific evidence.
Fulfillment and Shipping:
The Seller shall be solely responsible for fulfilling orders for its products, including the preparation and shipment of orders to Customers, consistent with the Shipping Policy, and where reasonable the Shipping Guidelines. The Seller must ship orders in a timely manner and provide tracking information to Customers.
Payment and Commission:
MyRoast will collect payment from Customers for all products sold through the Marketplace and will disburse the net proceeds to the Seller, less any applicable fees or commissions for using the Marketplace (“Admin Fee”). The Admin Fee structure and payment terms are subject to change at the discretion of MyRoast.
MyRoast disperses the net proceeds to a Seller within 30 days, or in accordance with the arrangement and frequency agreed with an individual Seller.

Taxes:
Goods & Services Tax (GST) is levied by the Australian Taxation Office (ATO) and charged on the majority of products sold within Australia. MyRoast acts as an agent for the sale of goods on behalf of the Seller, where:
- The Seller establishes the sale price of the goods;
- The goods are held by the Seller and remain under the ownership of the Seller;
- The Seller agrees that MyRoast acts as an agent; and
- MyRoast receives a Service Fee on completion of the sale.
Under these circumstances, MyRoast is not liable to pay GST on the sale. However, GST must be paid on the commission received, and will be collected according to the Service Fee.
The Seller, as the owner of the goods is liable to pay GST on the sale if:
- They are registered for GST, and
- They make the sale in the course of running their business.
The above information is provided for informational purposes only and is not to be relied upon. The Seller is advised to seek appropriate taxation advice in relation to their individual circumstances.
Customer Service:
The Seller is responsible for customer service, including handing and resolving any requests for returns or refunds directly with Customers within 5 business days of contact, consistent with the Refund and Return Policy.
Upon expiration of that period, or when necessary, MyRoast may intervene to assist in the resolution of any customer service issues related to its products. The Seller agrees to assist MyRoast in resolving those, should it be reasonably necessary.
Third Party Links:
The Seller is prohibited from giving reference to and / or including links to content, products and services offered by third-parties. This includes, without limitation, the inclusion of links which re-direct Customers to domains not owned or operated by MyRoast.
Intellectual Property:
The Seller shall retain all intellectual property rights in its products, but grants MyRoast a limited, non-exclusive license to use the Sellers trademarks, logos, and product images for the purpose of promoting and selling the Sellers products through the Marketplace.
Termination:
Either party may terminate this agreement at any time for any reason by providing written notice to the other party. Upon termination, the Seller will immediately remove all of its products from the Marketplace and cease all sales through the Marketplace.
Notwithstanding the above, and in addition to the Seller Terms and Conditions, the Seller shall be bound by the Terms of Service. Should a conflict arise between the Seller Terms and Conditions and the Terms of Service, the more stringent condition shall apply to the Seller.
